Job Description
Our Client is seeking a Senior Contract Lawyer to support complex commercial, corporate, and strategic transactions. The ideal candidate is a licensed attorney with substantial experience practicing corporate law at a U.S. or global law firm, fluent in English and Chinese, and capable of independently drafting, reviewing, and negotiating sophisticated agreements in a fast-paced environment.
You will be supervised by a senior U.S. licensed lawyer with 25+ years of AM100 Big Law corporate experience, and receive legal training, mentorship and opportunity for promotion while at this role.
This role requires strong legal judgment, attention to detail, and the ability to work cross-functionally with business, finance, and executive stakeholders.
Requirements
- Draft, review, and negotiate a wide range of commercial and corporate agreements, including NDAs, MSAs, SaaS agreements, licensing agreements, services agreements, and strategic partnership contracts.
- Advise internal stakeholders on contractual risk, deal structure, and legal implications of business decisions.
- Support corporate transactions, including financings, joint ventures, and other strategic initiatives.
- Review and analyze contracts in both English and Chinese, and provide clear summaries and risk assessments to internal teams.
- Develop and maintain contract templates, playbooks, and internal best practices.
- Collaborate with outside counsel as needed and manage legal workstreams efficiently.
- Negotiate contract terms with counterparty.
- Ensure compliance with applicable laws, internal policies, and risk management standards.
Required Qualifications
- Undergraduate degree from a top tier university.
- Law degree from an accredited law school.
- Active license to practice law in at least one jurisdiction, in good standing.
- Received no less than 2 years of education in the U.S.
- Minimum 3+ years of corporate law experience at a U.S. or global law firm.
- Fluency in English and Chinese (written and spoken), with the ability to review and negotiate legal documents in both languages. Spoken English fluency is essential.
- Strong drafting, negotiation, and analytical skills.
- Demonstrated ability to work independently and manage multiple matters simultaneously.
